Terms of Service

These Terms of Service ("Terms") govern access to and use of the TravelVault platform and website at travelvaulthq.com (together, the "Platform"), operated by Aida Dev LLC, a Delaware limited liability company ("TravelVault", "we", "us"). By applying for an account, creating agent accounts, or using the Platform, you agree to these Terms on behalf of yourself and the travel business you represent ("you", "Agency").

1. Who may use the Platform

The Platform is a business-to-business service for travel businesses located in the United States. It is not offered to consumers. To use it you must (a) operate a travel business in the United States, (b) provide accurate information when applying and keep it current, and (c) be authorized to bind the Agency to these Terms. We may verify your business before and after granting access and may decline or revoke access at our discretion.

2. Accounts and agent accounts

The Agency is responsible for every account created under it, including agent accounts, and for everything done through those accounts. You must keep credentials confidential and tell us promptly at contact@travelvaulthq.com if you believe an account has been compromised. You decide what each agent account may see and do (rate tiers, markup, whether the agent can pay or only hold); those settings are your responsibility.

3. Inventory, rates, and bookings

Hotel and other travel inventory on the Platform is supplied by third-party supply partners. Availability, rates, and rate conditions (including cancellation terms and free-cancellation deadlines) are set by the supplier and are shown before a booking is confirmed. Rates shown to you are net rates; the price you charge your client is set by you.

Bookings are processed by our supply partner. When you confirm a booking you accept the rate conditions shown for it, and you are responsible for paying the net rate by the deadline shown. TravelVault does not process payments from your clients and is not a party to your agreement with them.

4. Book now, pay later

Refundable rates may be booked without payment and held until the free-cancellation deadline set by the supplier for that rate. If the booking is not paid before that deadline, it is cancelled automatically and no charge is made. Non-refundable rates must be paid at booking. Deadlines are the supplier's and cannot be extended by TravelVault. Reminder messages are a courtesy; the deadline shown on the booking controls.

5. Credit line

Some agencies may be offered the ability to settle bookings on terms ("credit line"). Eligibility, limits, and payment terms are set out in a separate written agreement and may be changed or withdrawn by us on notice. Until such an agreement is in place, all bookings must be paid as described in sections 3 and 4.

6. Fees

There is no setup fee, no monthly platform fee, no booking minimum, and no charge for agent accounts. Our compensation is included in the net rate shown to you. Any penalties arising from a supplier's rate conditions (for example, a non-refundable rate that is cancelled) are yours.

7. Your obligations

  • Comply with laws that apply to your business, including seller-of-travel registration in states that require it, consumer-disclosure rules, and tax obligations. These are the Agency's responsibility, not ours.
  • Give your clients accurate information about what they are buying, including cancellation terms, and handle their payments and refunds.
  • Enter accurate traveler details. Inaccurate names or dates can result in a hotel refusing check-in, and any resulting cost is yours.
  • Use the Platform only for bona fide bookings for your clients. Do not scrape, resell access to, or reverse-engineer the Platform, and do not use it in a way that interferes with other users or with our supply partners.
  • Maintain your own agreements with any agents or independent contractors working under your accounts.

8. White-label and your brand

You grant us a limited license to display your name, logo, and domain on your booking site and confirmations for the purpose of providing the Platform to you. You confirm you have the right to use those materials. You retain ownership of your brand; we retain ownership of the Platform, its software, and its content.

9. Availability and changes

We aim to keep the Platform available and will tell you about planned maintenance where practical, but we do not guarantee uninterrupted access. We may change features, inventory, or these Terms. If a change to these Terms is material we will notify you by email or through the Platform; continued use after the change takes effect is acceptance.

10. Disclaimers

The Platform is provided "as is". Suppliers and hotels are independent of TravelVault, and we do not control and are not responsible for their acts, omissions, or the condition of their properties. To the fullest extent permitted by law we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement.

11. Limitation of liability

To the fullest extent permitted by law, TravelVault and Aida Dev LLC will not be liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits or revenue, arising from your use of the Platform. Our total liability to you for any claim arising out of these Terms or the Platform is limited to the greater of (a) the net amount paid by you through the Platform in the three months before the event giving rise to the claim, or (b) US $500.

12. Indemnity

You will indemnify and hold harmless TravelVault, Aida Dev LLC, and their officers and contractors from claims, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, your relationship with your clients or agents, or your failure to comply with laws that apply to your business.

13. Termination

You may close your account at any time by emailing contact@travelvaulthq.com. We may suspend or terminate access for breach of these Terms, suspected fraud, non-payment, or if our supply partners require it. Confirmed bookings remain subject to their rate conditions and to payment by their deadlines regardless of termination.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Before starting any formal proceeding, both sides agree to try in good faith to resolve the dispute by email or a call within 30 days. Any proceeding will be brought in the state or federal courts located in Delaware, and you consent to their jurisdiction.

15. General

These Terms, together with the Privacy Policy and any written credit-line agreement, are the entire agreement between you and TravelVault about the Platform. If any provision is found unenforceable, the rest remain in effect. You may not assign these Terms without our consent; we may assign them to an affiliate or successor.
